Terms of Service

1. Acceptance of Terms

Welcome to VyayOS (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the VyayOS website located atvyayos.com, and the VyayOS software-as-a-service application, including any APIs, integrations, and automated advertising tools (collectively, the “Service”).

By creating an account, clicking “I Agree,” connecting your third-party accounts (such as Meta/Facebook or Shopify), or otherwise using the Service, you confirm that you are acting on behalf of a business entity, that you have the authority to bind that entity to these Terms, and that you agree to be legally bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of the Service

VyayOS is a Return on Ad Spend (ROAS) optimization platform. The Service connects to your third-party e-commerce platforms (e.g., Shopify) and advertising accounts (e.g., Meta/Facebook Ads) to ingest data, analyze performance, and automatically or manually execute adjustments to campaigns, ad sets, ads, and bidding strategies.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Registration and Security

3.1 Business Use Only

The Service is intended exclusively for B2B (business-to-business) use. You may not use the Service for personal, family, or household purposes.

3.2 Account Credentials

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.3 Third-Party Logins

If you register or log in using a third-party service (e.g., Facebook Login), you authorize us to access and use certain account information from that service as permitted by that third party and as detailed in our Privacy Policy.

4. Third-Party Integrations (Meta and Shopify)

The Service relies on data and APIs provided by third-party platforms, including but not limited to Meta Platforms, Inc. and Shopify Inc.

4.1 Compliance with Platform Rules

By connecting your Meta and Shopify accounts, you agree to comply with their respective Terms of Service, Advertising Policies, and API terms.

4.2 Platform Actions

You acknowledge that Meta or Shopify may change their APIs, revoke our access, suspend your ad accounts, or alter their algorithms at any time. VyayOS is not responsible or liable for any downtime, account suspensions, or loss of functionality caused by the actions, policies, or technical changes of any third-party platform.

5. Automated Actions, Ad Spend, and User Obligations

5.1 Automated Optimization

VyayOS uses automation to adjust bids, alter budgets, pause or launch campaigns, and modify ad creative on your behalf. By authorizing VyayOS, you grant us permission to make these financial and structural changes to your connected ad accounts.

5.2 Ad Spend Liability

You are solely responsible for setting, monitoring, and paying for the maximum ad spend limits within your Meta ad accounts. VyayOS is not a payment processor for your ad spend, nor do we pay Meta on your behalf.

5.3 Assumption of Risk

You acknowledge that algorithmic optimization carries inherent financial risk. You agree that VyayOS is not liable for:

  • Unexpected, excessive, or rapid depletion of ad budgets.
  • Decreased ROAS, lost profits, or drops in e-commerce conversion rates.
  • Ad account bans or restrictions resulting from ads created, modified, or published via the Service.

6. Subscription Fees and Payment Terms

6.1 Billing

Use of the Service requires payment of recurring subscription fees. All fees are stated in INR and are non-refundable unless otherwise required by law.

6.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel your subscription prior to the renewal date.

6.3 Non-Payment

We reserve the right to suspend or terminate your access to the Service if your payment method fails or if your account falls into arrears.

7. Intellectual Property and Data Ownership

7.1 VyayOS Property

We retain all right, title, and interest in and to the Service, including its underlying algorithms, software, dashboard designs, and aggregated optimization models.

7.2 Customer Data

You retain all ownership of the raw data imported from your Shopify store and Meta accounts (“Customer Data”). You grant VyayOS a worldwide, royalty-free, non-exclusive license to ingest, process, and display this data to provide the Service to you.

7.3 Data Portability & Deletion

Upon account termination, or upon explicit request via the required platform webhooks (e.g., Shopify’s shop/redact), we will delete or anonymize your Customer Data in accordance with our Privacy Policy and platform compliance requirements.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, VyayOS disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that any specific ROAS or financial outcome will be achieved.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall VyayOS, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, lost profits, lost ad spend, data loss, or business interruption, arising out of or in connection with your use of the Service.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms exceed the total amount you paid to VyayOS in the twelve (12) months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless VyayOS from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from: (a) your violation of any term of these Terms; (b) your violation of any third-party right, including Meta's Advertising Policies or Shopify's Acceptable Use Policy; or (c) any claim that your ad creative or campaign strategy caused damage to a third party.

11. Termination

You may terminate your account at any time via your account settings. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if your usage poses a security risk to the platform. Sections 5, 7, 8, 9, 10, and 11 shall survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangalore, India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Bangalore, India.
